Terms of Service

1. Agreement to Terms

By accessing the NB Innovations website at regen.nbinnovations.com (or any associated domain) or by engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.

These terms constitute a legally binding agreement between you ("Client," "you," "your") and NB Innovations ("Company," "we," "us," "our"), a digital marketing services business based in Watsonville, California.

2. Description of Services

NB Innovations provides digital marketing system setup and management services including but not limited to:

• Landing page design and deployment
• Automated lead follow-up system setup (via GoHighLevel or similar platforms)
• CRM pipeline configuration
• Appointment booking system setup
• Digital campaign creation and management on Meta (Facebook/Instagram) and/or Google
• Monthly performance reporting

NB Innovations is a marketing services provider only. We are not a medical company, healthcare provider, or licensed financial advisor. We do not provide medical, legal, or financial advice.

3. No Guarantee of Results

Actual results vary significantly based on factors including but not limited to:

• Clinic size, location, and geographic market
• Level of competition in your area
• Your advertising budget and ad spend
• Treatment pricing and service offerings
• Clinic staff follow-up practices
• Market demand and seasonality
• Quality of execution by both parties

NB Innovations does not guarantee any specific number of leads, consultations, patients, or revenue. Past performance referenced in any materials does not guarantee future results.

4. Client Responsibilities and Ad Spend

When you engage NB Innovations for campaign management services, you understand and agree that:

• Ad spend is your responsibility. All advertising budgets are paid directly by you to Meta, Google, and any other platforms. NB Innovations does not hold, manage, or have access to your advertising funds.
• You are responsible for ensuring your business has all necessary licenses, permits, and regulatory approvals to operate and advertise in your jurisdiction.
• You are responsible for ensuring that all services you advertise comply with applicable laws including FDA regulations, FTC guidelines, and state medical advertising rules.
• You will provide accurate information about your clinic, services, and business during onboarding.
• You will respond to leads and consultation requests in a timely manner. NB Innovations is not responsible for results impacted by slow or no follow-up by your team.

5. The 30-Day Guarantee

NB Innovations offers a 30-day results guarantee subject to the following terms:

• The guarantee applies to the volume of consultation requests (form submissions or inbound inquiries) generated — not to booked appointments, patient conversions, or revenue.
• The minimum threshold for the guarantee (currently 5 consultation requests in 30 days) is confirmed during your strategy call and may vary based on your market and package.
• The guarantee applies to our management fee only — it does not cover ad spend, setup fees, or any third-party costs.
• The guarantee requires that you have an active advertising budget of at least the minimum amount discussed during onboarding running throughout the 30-day period.
• The guarantee does not apply if the underperformance is caused by factors outside our control including but not limited to: your team's failure to follow up with leads, inaccurate information provided by you, ad account suspension due to your clinic's content, or market conditions.
• Refund requests must be submitted in writing within 7 days of the end of the guarantee period.

Full guarantee terms are provided in your service agreement at the time of engagement.

6. Payment Terms

Payment terms for services are established in your individual service agreement. General terms include:

• A one-time setup fee is due before work begins
• Monthly management fees are billed in advance on a recurring basis
• All fees are in US dollars
• Services may be paused or terminated for non-payment after reasonable notice

Setup fees are non-refundable once work has commenced. Monthly management fees are subject to the 30-day guarantee terms described above.

7. Intellectual Property

Upon full payment of all fees, clients own the landing pages, copy, and creative assets we produce specifically for their clinic. NB Innovations retains ownership of our proprietary systems, templates, automation workflows, and methodologies.

All content on the NB Innovations website including text, graphics, and design is owned by NB Innovations and may not be copied or reproduced without written permission.

8. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the course of the engagement. NB Innovations will not disclose your clinic's performance data, patient volumes, or business information to third parties without your consent, except as required by law.

9. Limitation of Liability

To the maximum extent permitted by law, NB Innovations' total liability for any claims arising from our services shall not exceed the total fees paid by you to NB Innovations in the three months preceding the claim.

NB Innovations is not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or revenue
• Ad account suspensions by Meta, Google, or other platforms
• Results impacted by changes to platform algorithms or advertising policies
• Actions or inactions by your clinic staff

10. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• All client-owned assets (landing pages, data) will be transferred to you
• Access to NB Innovations managed accounts and systems will be removed
• No refunds are issued for the current billing period

11. Governing Law

These Terms of Service are governed by the laws of the State of California without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts of Monterey County, California.

12. FTC Compliance

NB Innovations complies with Federal Trade Commission (FTC) guidelines for digital marketing and advertising. All claims made on our website are based on general industry data and are clearly disclosed as estimates. We require that all client campaigns we manage comply with FTC truth-in-advertising standards and applicable platform policies.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
